Terms of Service

Comprehensive terms governing use of the EventKP SaaS platform, including event websites, RSVP, marketplace, and billing.

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and EventKP GmbH ("EventKP", "we", "us", or "our") governing access to and use of the EventKP cloud platform, including event websites, RSVP and guest management, vendor marketplace, agency workspaces, billing, analytics, and related services (collectively, the "Services").

By creating an account, accessing the Services, publishing an event website, collecting RSVPs, interacting with the vendor marketplace, or otherwise using EventKP, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Cookie Policy, and any order forms or plan descriptions applicable to your subscription.

If you use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization. In that case, "you" refers to the organization. If you do not agree to these Terms, you must not access or use the Services.

2. Definitions

"Account" means a registered user profile used to access the Services. "Event Owner" means a Customer who creates and manages one or more events. "Guest" means an individual invited to an event who may submit RSVP responses through an EventKP-hosted experience. "Vendor" means a supplier listed on or interacting through the EventKP marketplace. "Agency" means a workspace used to manage multiple client events. "Content" means text, images, media, data, and other materials uploaded or published through the Services.

"Subscription" means a paid or trial plan that defines feature entitlements, usage limits, and billing terms. "Personal Data" has the meaning given in applicable data protection law, including the EU General Data Protection Regulation (GDPR). "Confidential Information" means non-public information disclosed by either party that is marked or reasonably understood to be confidential.

Additional capitalized terms are defined in context throughout these Terms or in applicable product documentation published within the Services.

3. Eligibility and Account Registration

You must be at least eighteen (18) years old and capable of forming a binding contract to use the Services. Business users must provide accurate legal entity information where required for billing, tax, or marketplace compliance.

When registering, you agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity under your account, including actions taken by team members, agency staff, or collaborators you invite. Notify us immediately at [email protected] if you suspect unauthorized access.

We may refuse registration, suspend accounts, or require additional verification where we reasonably believe information is inaccurate, fraudulent, or associated with prohibited use. You may not create multiple accounts to evade restrictions, abuse trials, or circumvent enforcement actions.

4. Subscriptions, Plans, and Trials

Access to certain features requires a Subscription. Plan entitlements—including event limits, guest volumes, marketplace access, custom domains, AI credits, storage, and support levels—are described at checkout, in your admin billing area, and in published plan documentation. We may modify plan packaging prospectively; material adverse changes to paid plans will be communicated with reasonable notice where required by law.

Free trials, promotional credits, and beta features may be offered at our discretion. Trials convert to paid Subscriptions unless cancelled before the trial end date. Beta features are provided "as is" and may be modified or discontinued without liability.

Unless otherwise stated, Subscriptions renew automatically for successive billing periods. You authorize us and our payment processors to charge applicable fees, taxes, and overages. Failure to pay may result in suspension or termination of access after notice where required.

5. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not use EventKP to distribute malware, send unsolicited bulk messages, harass individuals, infringe intellectual property, publish illegal content, facilitate fraud, or process personal data without a lawful basis.

Prohibited activities include attempting to bypass security controls, scrape the platform without authorization, reverse engineer the Services except where permitted by mandatory law, resell access without written consent, or use the marketplace to misrepresent services, pricing, or identity.

We may investigate suspected violations and cooperate with law enforcement. We reserve the right to remove Content, restrict features, or terminate accounts that create security, legal, or reputational risk. Serious violations may be reported to authorities.

6. Event Websites and Published Content

EventKP enables you to create branded event websites, landing pages, schedules, FAQs, galleries, and related experiences. You retain ownership of Content you upload, subject to the license granted below. You are solely responsible for ensuring that published Content is accurate, lawful, and appropriate for your guests and jurisdiction.

You must obtain all necessary rights, licenses, and consents for images, music, trademarks, and third-party materials displayed on your event sites. EventKP does not provide legal advice regarding publicity rights, copyright, or event permits.

We may host Content on infrastructure operated by us or subprocessors. We may apply technical measures such as caching, image optimization, and content delivery networks to improve performance. We do not guarantee uninterrupted availability of custom domains or third-party DNS configurations.

7. RSVP, Guest Management, and Communications

RSVP features allow you to collect guest responses, dietary requirements, plus-one policies, seating preferences, and related information. You act as an independent controller—or processor where applicable—for Guest Personal Data you collect through your events. You must provide guests with transparent notice, lawful bases, and privacy choices consistent with GDPR, UK GDPR, Turkish KVKK, and other applicable laws.

EventKP provides tools for invitations, reminders, check-in, QR codes, and communication logs. Delivery of email or SMS messages may depend on third-party providers, recipient spam filters, and accurate contact data. We do not guarantee delivery timing or inbox placement.

You must not upload guest lists obtained without consent or lawful authority. You are responsible for honoring opt-out requests, data subject rights, and retention limits for guest data. EventKP may suspend RSVP sending if abuse, bounce rates, or complaint thresholds are exceeded.

8. Vendor Marketplace and Agency Workflows

The marketplace connects Event Owners and Agencies with Vendors offering venues, catering, photography, décor, and related services. EventKP is a platform provider, not a party to contracts between users unless explicitly stated in a separate written agreement. We do not guarantee vendor quality, availability, pricing accuracy, or performance.

Vendors are responsible for their listings, quotes, invoices, licenses, insurance, and compliance with consumer protection and commercial regulations. Event Owners and Agencies must perform due diligence before engaging vendors. Disputes between marketplace participants should be resolved directly; EventKP may offer optional dispute tooling but has no obligation to mediate.

Agency workspaces may manage multiple client events under role-based permissions. Agencies must ensure they have contractual authority to process client data within EventKP and must configure access controls appropriately. Misuse of client data constitutes a material breach.

9. Payments, Billing, and Taxes

Subscription fees, marketplace transaction fees, and add-on charges are billed according to your plan and checkout selections. Prices may exclude taxes unless stated otherwise. You are responsible for applicable VAT, sales tax, or withholding taxes unless we are legally required to collect them.

Payment processing may be performed by third-party providers such as Stripe. Your use of payment features is subject to their terms and privacy policies. Failed payments may lead to grace periods, feature limitations, or account suspension after notice.

Except where required by mandatory consumer law, fees are non-refundable once a billing period has commenced. Chargeback abuse or fraudulent payment activity may result in immediate termination and recovery efforts.

10. Intellectual Property and License

EventKP and its licensors own all rights in the platform software, templates, designs, documentation, trademarks, and proprietary technology. No ownership rights are transferred to you except as expressly stated.

You grant EventKP a worldwide, non-exclusive, royalty-free license to host, reproduce, display, and process your Content solely to provide, secure, and improve the Services, comply with law, and enforce these Terms. This license ends when Content is deleted from active systems, subject to backup and legal retention requirements.

You may provide feedback or suggestions regarding the Services. We may use feedback without restriction or compensation. Do not submit confidential or proprietary third-party information as feedback.

11. Data Protection and Privacy

Our Privacy Policy and Data Processing Agreement describe how EventKP processes Personal Data. Where we process Personal Data on your behalf for guest or client data, you are responsible for establishing appropriate legal bases, instructions, and subprocessors arrangements.

You must configure privacy settings, consent flows, and data retention in line with your obligations. EventKP offers tools for export, deletion requests, and audit logs in supported plans; you remain responsible for responding to data subject requests for data you control.

Cross-border transfers may occur within our subprocessors' global infrastructure. We implement appropriate safeguards such as Standard Contractual Clauses where required. Details are available in our Privacy Policy and DPA.

12. Security

We implement administrative, technical, and organizational measures designed to protect the Services, including encryption in transit, access controls, monitoring, and vulnerability management. No system is completely secure; you acknowledge inherent internet transmission risks.

You must use strong passwords, enable multi-factor authentication where available, and restrict team permissions. You are responsible for securing devices and integrations you connect to EventKP.

If you discover a security vulnerability, report it responsibly to [email protected]. Do not publicly disclose issues before we have had a reasonable opportunity to remediate.

13. Third-Party Services and Integrations

The Services may integrate with third-party tools such as analytics, email providers, payment gateways, calendar systems, and AI models. Your use of integrations is subject to third-party terms. EventKP is not responsible for third-party outages, data practices, or policy changes.

Links to external websites are provided for convenience and do not constitute endorsement. You access third-party services at your own risk.

We may modify or discontinue integrations where security, cost, or contractual constraints require. Material integration removals affecting paid features will be communicated when practicable.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF MARKETPLACE LISTINGS OR AI-GENERATED CONTENT.

EventKP does not warrant that the Services will be uninterrupted, error-free, or free of harmful components. AI-assisted features may produce inaccurate or incomplete output; you must review outputs before publication or reliance.

Some jurisdictions do not allow certain disclaimers; in those cases, disclaimers apply to the fullest extent permitted.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENTKP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO EVENTKP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED EUROS (€100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER MANDATORY LAW.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded by law.

16. Indemnification

You will defend, indemnify, and hold harmless EventKP from claims, damages, losses, and expenses (including reasonable legal fees) arising from your Content, your events, your marketplace conduct, violation of these Terms, or unlawful processing of Personal Data under your control.

We will notify you of indemnifiable claims and cooperate in defense. You may not settle claims imposing obligations on EventKP without our prior written consent.

This section survives termination of your account and these Terms.

17. Suspension and Termination

You may cancel your Subscription according to billing settings. We may suspend or terminate access immediately for material breach, non-payment, security risk, legal requirement, or prolonged inactivity on free accounts.

Upon termination, your right to access the Services ceases. We may delete or anonymize Content after a retention period consistent with our backup and legal obligations. Export your data before cancellation where export tools are available.

Sections that by nature should survive—including payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, and governing law—survive termination.

18. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules, except where mandatory consumer protections in your country of residence apply.

For business customers, the exclusive venue for disputes shall be the courts of Berlin, Germany, unless mandatory law provides otherwise. Consumers may bring claims in their habitual residence where permitted.

Before formal proceedings, parties agree to attempt good-faith resolution by contacting [email protected] within thirty (30) days of the dispute arising.

19. Changes to These Terms

We may update these Terms to reflect product changes, legal requirements, or security improvements. Material changes will be notified via email, in-product notice, or publication on our legal pages with an updated effective date.

If you continue using the Services after the effective date of revised Terms, you accept the changes. Where required by law, we will seek explicit consent for material changes affecting paid Subscriptions.

Version history and publication dates are maintained in the EventKP Legal Content Center for transparency.

21. Service Levels and Support

EventKP publishes target uptime and support response objectives for paid plans in our status and support documentation. Scheduled maintenance is announced in advance when practicable. Credits for downtime may apply to enterprise agreements as specified in order forms.

Support channels include email, in-app help, and knowledge base articles. Critical security incidents receive prioritized handling regardless of plan tier.

Feature availability may vary by region, plan, and account configuration. We document deprecations with migration guidance where feasible.

22. Force Majeure

Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, widespread outages, war, or governmental actions. Payment obligations for periods without service may be credited per plan policies.

Platform

The EventKP cloud environment including admin consoles, APIs, and hosted event endpoints operated by EventKP GmbH.

Subscription

A recurring paid or trial plan defining feature entitlements, usage limits, and billing intervals for your organization.

RSVP Module

Functionality enabling guest invitations, response collection, reminders, and attendance tracking including optional QR check-in at venues.

Vendor Marketplace

A discovery and quoting environment connecting event organizers and agencies with independent vendors; EventKP is not the contractual party unless explicitly stated.

Agency Workspace

Multi-client management area with role-based permissions for planners managing events on behalf of third-party customers.

Customer Content

Materials you upload or publish including text, images, schedules, and guest communications; you retain ownership subject to the license granted to EventKP.

Major Legal Version

A published legal document version flagged to require re-acceptance of Terms or Privacy where configured in marketing settings.
